“OPTIVIO” END USER LICENSE AGREEMENT

This License Agreement is a legal agreement between you and CENTWINS S.R.L. for use of “OPTIVIO” SOFTWARE PRODUCT, which includes software along with any update and upgrade to the original software product, and may include associated storage medium (e.g. CD), printed materials and online or electronic documentation.
“OPTIVIO” SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

1. Grant of license

“OPTIVIO” SOFTWARE PRODUCT is licensed, not sold. CENTWINS S.R.L. does not sell any rights in the product, but grants you only a non-exclusive and non-transferable license to use one copy of the “OPTIVIO” SOFTWARE PRODUCT in accordance with the terms of this License Agreement. CENTWINS S.R.L. retains all rights and titles, including, without limitation, copyrights and ownership of the “OPTIVIO” SOFTWARE PRODUCT. This License Agreement is not to be construed as a sale of the “OPTIVIO” SOFTWARE PRODUCT, a copy of the “OPTIVIO” SOFTWARE PRODUCT or any rights in the “OPTIVIO” SOFTWARE PRODUCT.

The license is granted to use one copy of the “OPTIVIO” SOFTWARE PRODUCT which will continue to be valid as long as the recurring charges imposed by CENTWINS S.R.L. are paid. If these charges are not paid, this License Agreement will terminate automatically and the “OPTIVIO” SOFTWARE PRODUCT will be deactivated. Upon termination of this License Agreement, you must uninstall and destroy any copies of the “OPTIVIO” SOFTWARE PRODUCT and the documentation.

2. Restrictions

The copying, reproduction or distribution of the “OPTIVIO” SOFTWARE PRODUCT without prior written consent from CENTWINS S.R.L. is expressly prohibited.
You may not modify, adapt, translate, redesign, disassemble, decompile, or create derivative works based on the “OPTIVIO” SOFTWARE PRODUCT.
The license is granted to use one copy of the “OPTIVIO” SOFTWARE PRODUCT as a whole. Its components may not be used separately.
You may not sublicense, rent, lease, lend, sell, resell, share or transfer the “OPTIVIO” SOFTWARE PRODUCT license.

3. Copyright

All rights, titles and copyrights in and to “OPTIVIO” SOFTWARE PRODUCT (including but not limited to any code, images, photographs, animations, logos, video, audio, music, text, and “applets” incorporated into “OPTIVIO” SOFTWARE PRODUCT), the accompanying printed materials and any copies of “OPTIVIO” SOFTWARE PRODUCT are owned by CENTWINS S.R.L. “OPTIVIO” SOFTWARE PRODUCT may include text and images owned by CENTWINS S.R.L. partners. It is prohibited to use any content from “OPTIVIO” SOFTWARE PRODUCT outside of it.
“OPTIVIO” SOFTWARE PRODUCT may include programs from third parties. The license terms accompanying those programs govern their use by you.

4. Other stipulations

CENTWINS S.R.L. reserves the right to disallow running the “OPTIVIO” SOFTWARE PRODUCT without a permanently internet connection on the device which is installed the “OPTIVIO” SOFTWARE PRODUCT.
CENTWINS S.R.L. shall not be held responsible for unlocking the “OPTIVIO” SOFTWARE PRODUCT which was password protected by user.
This License Agreement will terminate automatically if you are in breach of any of its terms and conditions. The “OPTIVIO” SOFTWARE PRODUCT will be deactivated and you will have the obligation to uninstall and destroy any copies of the “OPTIVIO” SOFTWARE PRODUCT and the documentation.

5. Final clauses

CENTWINS S.R.L. does not promise or guarantee and shall not be held responsible for the functioning and for the effects of “OPTIVIO” SOFTWARE PRODUCT usage, in terms of validity, reliability, performance, accuracy and servicing the goal of the license holder. CENTWINS S.R.L. shall not be held responsible for any damages of any kind, including, without limitation, direct or indirect damages, consequential or incidental damages arising out of the use or the inability to use this “OPTIVIO” SOFTWARE PRODUCT.
CENTWINS S.R.L. does not guarantee and shall not be held responsible for the informations inserted into the “OPTIVIO” SOFTWARE PRODUCT database or for any other data of any kind stored or sent via e-mail by using this “OPTIVIO” SOFTWARE PRODUCT.

6. Acknowledgment

By using the “OPTIVIO” SOFTWARE PRODUCT, you acknowledge that you have read this License Agreement, that you understand it and agree to be bound by its terms.
